Terms of Use
Effective Date: [June 2, 2026]. These Terms of Use ("Terms") govern access to and use of the Mobility-X websites, Thinkific course portal, subscriptions, courses, CEU offerings, certification-related materials, digital downloads, live or online training, and related services operated by Mobility-X Institute, LLC ("MX-I," "Company," "we," "us," or "our").
Users may include customers, learners, subscribers, CEU participants, website visitors, and anyone else who uses or enrolls in Mobility-X content.
1. Contracting Entity and IP Owner
Customers, learners, subscribers, CEU participants, and website users contract with Mobility-X Institute, LLC, EIN 42-2259485, also referred to as Mobility-X Institute or MX-I, located at 351 S US Highway 1, Suite 106, Jupiter, FL 33477.
Mobility-X Holdings, LLC, EIN 42-2170687, also referred to as Mobility-X Holdings and MX-H, owns or is intended to own the Mobility-X intellectual property and licenses it to MX-I. MX-H is an intended third-party beneficiary of provisions protecting intellectual property, confidentiality, disclaimers, limitations of liability, release, indemnity, and brand enforcement. Mobility-X Holdings, together with its licensees, may also be referred to collectively as “us”, “we”, “our”, or other similar pronouns.
Nothing in these Terms transfers Mobility-X intellectual property to any customer or causes MX-H to become the customer-facing contracting entity.
2. Acceptance and Clickwrap
Users may include customers, learners, subscribers, CEU participants, website visitors, and anyone else who uses or enrolls in Mobility-X content.
By creating an account, enrolling in a course, purchasing a subscription, accessing Thinkific materials, checking an acceptance box, signing a waiver, or using the services, you agree to these Terms and any additional terms presented at checkout or enrollment.
We should maintain clickwrap records showing the version accepted, timestamp, account email, IP/device metadata if available, and course/subscription purchased. Users who do not agree may not use the services.
3. Educational Content; No Medical Advice
Mobility-X content is educational and informational. It is not individualized medical advice, diagnosis, treatment, physical therapy, rehabilitation, emergency care, or a substitute for evaluation by a qualified healthcare professional.
No provider-patient, therapist-patient, clinician-patient, fiduciary, or professional treatment relationship is created by viewing website content, accessing courses, participating in subscriptions, attending training, or communicating with us unless a separate written clinical agreement states otherwise.
You are responsible for consulting a qualified healthcare professional before beginning or modifying any exercise, mobility, balance, fall-risk, strength, or health-related program, especially if you have medical conditions, injuries, pain, neurological conditions, cardiovascular concerns, balance limitations, fall risk, pregnancy, recent surgery, or other risk factors.
4. Accounts, Access, and Security
You must provide accurate account and payment information. You are responsible for maintaining the confidentiality of your login credentials and all activity under your account.
Accounts are personal to the registered user unless a written enterprise, instructor, group, or organizational license permits additional users. You may not share passwords, copy course files, redistribute downloads, record sessions, bypass access controls, scrape content, or permit unauthorized access.
We may suspend or terminate accounts for nonpayment, suspected unauthorized sharing, misuse, security risk, violation of these Terms, violation of certification rules, unlawful conduct, or infringement of Mobility-X intellectual property.
You must be 18 years of age or over, or the legal age to form a binding contract in your jurisdiction if that age is greater than 18 years of age, to register for any function, service, or portion of this Site which requires such registration. This Site is not intended or designed to attract children under the age of 13. If you are under the age of 13, you may not use the Site. If you are a parent or legal guardian agreeing to these Terms of Use for the benefit of a minor between the ages of 13 and 18 (or the applicable legal age in your jurisdiction), you are fully responsible for his or her use of the Website and the User Content (as defined below), including all legal liability he or she may incur. By using this Site and any services provided therein, you represent and warrant that you have the right, authority, and capacity to enter into these Terms of Use and to abide by all of the terms and conditions set forth herein.
5. Payments, Subscriptions, Auto-Renewal, Cancellation, and Refunds
Prices, billing periods, renewal terms, trial periods, and refund rules are shown at checkout or in the applicable order page. Subscriptions may renew automatically until cancelled, subject to applicable law and the specific checkout terms.
You authorize our payment processors and us to charge the payment method you provide for purchases, recurring subscriptions, taxes, and authorized fees. We do not store full payment card numbers when payment is processed by third-party processors such as Stripe, Thinkific Payments, or similar vendors.
Cancellation stops future renewal charges but does not necessarily create a refund for prior charges, partial periods, completed courses, downloadable materials, or CEU/certification access unless the applicable refund policy states otherwise.
6. CEUs, Certifications, and Professional Use
CEU approval, course completion certificates, certification-related materials, instructor credentials, and professional use permissions are subject to the specific program requirements, attendance rules, assessment standards, and accreditor/provider obligations stated for each course.
Completion of a course does not guarantee licensure, board acceptance, employment, clinical competence, patient outcomes, professional advancement, insurance reimbursement, or approval by a specific state board unless expressly stated in writing.
You are responsible for determining whether a course satisfies your professional licensing, renewal, employer, insurer, or board requirements.
7. Intellectual Property Restrictions
All Mobility-X content and materials are protected by intellectual property and contract rights. You receive a limited, revocable, non-exclusive, non-transferable right to access purchased or subscribed materials for your personal educational or authorized professional use.
You may not copy, reproduce, distribute, teach, sublicense, sell, publish, upload, share, convert, train AI models on, reverse engineer, create competing products from, or create derivative works based on Mobility-X content without written permission from MX-H or MX-I as appropriate.
You may not use Mobility-X marks, names, course titles, certification labels, or brand elements except as specifically permitted by written policy.
8. User Content and Communications
If you submit questions, comments, testimonials, assignments, feedback, posts, videos, photos, case examples, or other content, you represent you have the right to submit it and that it does not violate privacy, confidentiality, patient/client rights, intellectual property rights, or law.
Do not submit identifiable patient information, protected health information, medical records, images of patients, or third-party health information unless expressly authorized by law and by us in writing.
You grant MX-I a license to use submitted content for operating the services, responding to you, improving courses, supporting learners, and documenting compliance. Business IP improvements derived from feedback may be owned by MX-H, but customer health data should remain with MX-I unless counsel approves otherwise.
9. Privacy and Consumer Health Data
Our Privacy Policy explains how MX-I collects and uses personal information. Our Consumer Health Data Privacy Notice explains additional handling of health-related information where applicable.
MX-I is the ordinary controller/operator of customer account data and customer health data. MX-H should not receive identifiable customer health data unless counsel approves the transfer or the information is de-identified/aggregated.
You should not use course forums, comments, uploads, or support channels to submit sensitive health information unless the service specifically requests it and you consent to the stated use.
10. Disclaimers, Assumption of Risk, and Waiver
Exercise, mobility, balance, strength, and movement activities involve risk, including soreness, strain, falls, injury, aggravation of conditions, cardiovascular events, neurological symptoms, or other harm. You voluntarily assume the risks of participation.
To the fullest extent permitted by law, the services and materials are provided "as is" and "as available" without warranties of any kind. We do not guarantee results, outcomes, symptom improvement, fall prevention, safety, board approval, revenue, employment, or uninterrupted access.
Additional waiver and assumption-of-risk terms may be presented during enrollment, checkout, live events, or course participation and are incorporated into these Terms.
11. Limitation of Liability and Indemnification
TO THE FULLEST EXTENT PERMITTED BY LAW, MX-I, MX-H, THEIR OWNERS, MANAGERS, OFFICERS, INSTRUCTORS, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR LOST-PROFIT DAMAGES ARISING FROM THE SERVICES.
To the fullest extent permitted by law, total liability for claims arising from a purchase or subscription is limited to the amounts paid by you to MX-I for the specific service giving rise to the claim during the [three/six/twelve] months before the claim, unless counsel revises this cap.
You agree to indemnify the protected parties from claims arising from your misuse of content, violation of these Terms, violation of law, unauthorized sharing, infringement, improper professional use, unauthorized submission of third-party health information, or negligent/wrongful conduct.
12. Termination
We may suspend or terminate access if you violate these Terms, fail to pay, misuse content, share access, infringe IP, compromise security, harass users or instructors, submit unlawful content, or create legal/regulatory risk.
Upon termination, your right to access content stops, but provisions concerning IP ownership, confidentiality, privacy, disclaimers, waiver, limitation of liability, indemnity, dispute resolution, and payment obligations survive.
13. Governing Law, Venue, and Dispute Resolution
These Terms are governed by Florida law, without regard to conflict-of-law rules. Subject to consumer law limits and counsel review, exclusive venue for disputes shall be in Palm Beach County, Florida.
